Please read these terms carefully before using our services. By engaging NovaINC you agree to everything outlined below.

1. Services

NovaINC provides custom web design and development services. Every website is built from scratch using modern technologies including React, Next.js, TypeScript and Tailwind CSS. No templates or page builders are used. The exact scope of work will be agreed between both parties before any work begins.

2. Payment

All projects require a 50% deposit upfront before any work begins. The remaining 50% is due upon completion before any code or files are handed over. Payment is accepted via bank transfer to the details provided on your invoice. Work will not begin until the deposit has been received and confirmed.

3. Refund Policy

If you cancel before any work has begun you are entitled to a full refund of your deposit. If work is in progress — meaning actual pages and functionality have been built beyond initial setup — you are entitled to a partial refund at NovaINC's discretion based on work completed. Once the project has been delivered and approved no refunds will be issued. All refund requests must be made in writing via email.

4. Code Ownership & Intellectual Property

All code, design and assets created by NovaINC remain the intellectual property of NovaINC until full and final payment has been received. Upon receipt of full payment all rights to the code and design are transferred to the client in full. Any assets provided by the client such as images, logos and copy remain the property of the client at all times.

5. Revisions

Each package includes a set number of revision rounds as outlined in the pricing section. A revision is defined as reasonable changes to existing content, layout or colours. Additional revisions beyond the included rounds will be charged at a rate agreed between both parties. Complete redesigns or significant scope changes are not considered revisions and will be quoted separately.

6. Delivery & Timelines

Estimated delivery times are provided at the start of each project: Starter — 14 days, Standard — 21 days, Custom — agreed individually. Delivery timelines depend on the client providing all required assets including images, copy and branding materials in a timely manner. Delays caused by the client do not constitute a breach of these terms by NovaINC.

7. Client Responsibilities

The client agrees to: provide all required assets promptly when requested; respond to messages and feedback requests within a reasonable timeframe; provide honest and clear feedback during the revision process; not share, reproduce or distribute any demo or preview work without permission.

8. Cancellation

Either party may cancel the project at any time in writing. In the event of cancellation the refund policy outlined in Section 3 applies. NovaINC reserves the right to cancel any project if the client behaves in an unreasonable, abusive or dishonest manner with no refund obligation.

9. Limitation of Liability

NovaINC shall not be held liable for any indirect, consequential or incidental damages including but not limited to loss of revenue, loss of business or loss of data arising from the use of any website built by NovaINC. The total liability of NovaINC in any circumstance shall not exceed the total amount paid by the client for the project.

10. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
